Terms of Use

The terms and conditions governing your use of ECM.

1. Introduction

1.1

These Terms of Use (the "Terms") govern access to and use of the ECM website and any non-transactional access to the ECM platform (together, the "Platform"), operated by Erguvan Decarbonization Technologies Ltd. ("Erguvan").

1.2

These Terms do not govern trading, clearing, settlement, custody, or any transaction conducted on or through ECM. Such activities are governed exclusively by separate contractual arrangements, including the Master Participation & Trading Agreement, the ECM Rulebook, and applicable Confirmations.

2. Scope and Application

2.1

These Terms apply solely to:

  • (a)access to the Platform;
  • (b)viewing publicly available or informational content;
  • (c)non-transactional access to platform interfaces.
2.2

Use of ECM's trading services is subject to separate eligibility, onboarding, and contractual requirements.

3. Access and Acceptable Use

3.1

You may access and use the Platform solely for lawful purposes and in accordance with these Terms. You shall not:

  • (a)attempt to gain unauthorized access to any system or data;
  • (b)interfere with the operation or security of the Platform;
  • (c)use automated tools to extract data without authorization;
  • (d)misuse or attempt to circumvent access controls.
3.2

ERGUVAN may restrict, suspend, or terminate access to the Platform at any time without notice.

4. Intellectual Property

4.1

All content made available on or through the Platform, including without limitation all text, data, compilations, databases, graphics, charts, logos, trademarks, service marks, interfaces, software, source and object code, layouts, design elements, and underlying methodologies (collectively, the "Content"), is owned by or licensed to ERGUVAN and is protected by applicable intellectual property, proprietary, and other laws.

4.2

Except as expressly permitted in writing by ERGUVAN, no Content may be copied, reproduced, modified, adapted, translated, distributed, transmitted, displayed, published, licensed, sold, rented, leased, reverse engineered, decompiled, disassembled, mirrored, framed, scraped, extracted, or otherwise exploited, in whole or in part, for any purpose.

4.3

No right, title, or interest in or to any Content is transferred to you. Your use of the Platform is limited to a revocable, non-exclusive, non-transferable right to access and view the Platform solely for its intended purpose, subject to these Terms.

4.4

ERGUVAN reserves all rights not expressly granted.

5. Disclaimers

5.1

The Platform is provided on an "as is" and "as available" basis. ERGUVAN makes no representations or warranties, whether express or implied, in relation to the accuracy, completeness, timeliness, availability, or reliability of any information made available on the Platform. Any reliance placed on information obtained through the Platform is at your own risk.

5.2

ERGUVAN does not warrant that access to the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

6. Limitation of Liability

6.1

To the maximum extent permitted by applicable law, ERGUVAN shall not be liable for any direct, indirect, incidental, consequential, special, or punitive loss or damage arising out of or in connection with access to, use of, or inability to access or use the Platform, including any reliance on information made available through the Platform.

6.2

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.

7. Privacy

7.1

Personal data is processed in accordance with ERGUVAN's Privacy Policy, as published on the Platform and incorporated into these Terms by reference.

8. Amendments

8.1

Erguvan may amend these Terms from time to time by publishing an updated version on the Platform. Any amended Terms shall take effect upon publication.

9. Governing Law

9.1

These Terms and any dispute or claim arising out of or in connection with them are governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-laws principles.

10. Severability

10.1

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, such provision shall be deemed modified to the minimum extent necessary to render it valid, lawful, and enforceable, and the remaining provisions shall remain in full force and effect.
